Do you anticipate paying a dividend?
On May 3, 2002, the Company paid a $0.39 per share cash distribution to return excess capital to its shareholders. The distribution was intended and characterized as a cash distribution or return of capital and not a cash dividend, and we accordingly notified our stock transfer agent to mark on the distribution checks “cash distribution.” The Company cannot provide tax guidance to its shareholders; however this was Onvia’s characterization for all shareholders having a cost basis in Onvia shares equal to or greater than $0.39 per share. For shareholders having a cost basis of less than $0.39 per share, it will probably be taxed as a cash dividend for the portion of the cash distribution exceeding the shareholder’s cost basis. The Company presently intends to retain future earnings, if any, for use in operation and expansion of its business, and therefore does not anticipate paying any cash dividends or additional cash distributions in the foreseeable future.
